Deliphi Terms of Service

Welcome to Deliphi. These terms are the agreement between you and Delithius Labs LLC, a North Carolina limited liability company ("Delithius Labs," "we," "us"), for your use of Deliphi at deliphi.legal (the "Service"). By creating an account or using the Service, you agree to these terms. If you sign up for a firm or organization, you confirm you have the authority to bind it, and "you" includes that firm.
1. Deliphi is not a law firm
Deliphi is software for lawyers and legal teams. Delithius Labs is not a law firm, does not practice law, and does not give legal advice. Using Deliphi does not create an attorney-client relationship with us.
Our rule is simple: AI may sort and draft; it may not advise. A licensed lawyer decides.
- You stay responsible for your work. You are responsible for all legal advice, filings, and decisions you make, and for meeting your own professional and ethical duties (including competence, supervision, and client confidentiality).
- Review every output. Anything Deliphi or its assistant "360" produces, including answers, drafts, summaries, and citations, must be reviewed by a licensed lawyer before you rely on it or share it.
- Citations. 360 answers only from the authorities on file in your matter, or tells you none was found. When a citation is not confirmed against a public source, Deliphi marks it, for example "Unverifiable against [source]." A citation that is not marked is still not a guarantee. Deliphi does not run a full citator (it does not tell you whether a case is still good law). Check every authority yourself.
2. Your account and sign-in
- You must be at least 18 and able to form a binding contract.
- Give us accurate information and keep it current.
- You can sign in with a one-time magic link sent to your email (single use, expires in 15 minutes) or with a password. Keep your email account and password safe. You are responsible for activity under your account.
- Tell us right away at admin@delithiuslabs.org if you think someone has used your account without permission.
3. Plans and prices
Deliphi is priced per user. All prices are in US dollars.

There is no setup fee, no annual contract required, no seat minimum, and no long-term lock-in. Prices do not include taxes unless we say so. If taxes apply, they will be shown before you pay. If we change prices, we will tell you at least 30 days ahead, and the new price applies at your next renewal after that.
4. Free trial
New accounts start with a 15-day free trial. No payment card is asked for to start the trial. Some features may stay locked during the trial. When the trial ends, we ask you whether to continue. We never surprise-bill: your plan starts only when you choose a plan and check out. If you do nothing, your account becomes read-only for 30 days: you can still view and export your work, and you can pick a plan anytime. After those 30 days, the account is handled like a closed account (see section 8).
5. Billing and renewal
- Payments are processed by Stripe. We do not see or store your full card number.
- Your plan is billed monthly or yearly, as you choose, and renews automatically until you cancel.
- You authorize us, through Stripe, to charge your payment method for each renewal and for any seats you add.
- If a payment fails, you have a 7-day grace period to update your payment method. If it is still unpaid after 7 days, we may pause paid features until it is fixed.
6. Cancelling
You can cancel anytime:
- in Settings in the app,
- by telling 360 "cancel my plan," or
- through the Stripe Customer Portal linked from Settings.
Cancelling stops the next renewal. You keep full access until the end of the period you already paid for, and your work stays exportable.
Refunds: because you can cancel anytime and keep access to the end of your period, payments are not refunded for partial periods, except where the law requires. Yearly plans: if you ask within 15 days of a yearly charge, we will refund that charge in full. Email admin@delithiuslabs.org to ask.
7. Deliphi for Justice (free plan)
Deliphi for Justice is a free plan for qualifying legal-aid organizations.
- Who qualifies: verified 501(c)(3) organizations that provide legal aid. We check eligibility with public sources such as the IRS Exempt Organizations list, the ProPublica Nonprofit Explorer, and the Legal Services Corporation grantee list.
- What we ask for: organization name, EIN, website, and a work email. The email domain must match the organization's website; free webmail addresses are not accepted.
- Approval: each application is reviewed and approved by a person. We may decline or end the free plan if the organization stops qualifying.
- Seats: up to 6 seats.
- Yearly check: eligibility is re-checked each year.
- All other parts of these terms apply to the Justice plan.
8. Your content and your data
- You own your content. The matters, documents, notes, messages, and other material you put into Deliphi ("Your Content") stay yours.
- Our permission to use it: you give us a limited permission to store, process, and display Your Content only to run the Service for you, keep it secure, and support you. We do not sell Your Content.
- Per-firm separation: each firm sees only its own matters.
- Export anytime: you can export your work with one button, in JSON or CSV. There is no lock-in.
- Your duties: you confirm you have the right to upload Your Content, including any client information, and that doing so meets your confidentiality duties.
- The record: Deliphi seals answers, pulls, messages, and signatures into a hash chain for each matter so changes can be detected. While your account is open, items filed in a matter are kept as part of that record.
- If you close your account: your export stays available for 30 days. After that, we delete your content within 90 days, except sealed audit records the law requires us to keep. See the Privacy Policy for details.
9. Client trust funds (IOLTA)
Deliphi never holds, receives, or moves client trust money, including IOLTA funds. Keep all trust accounting in your own trust accounts and systems.
10. Electronic signatures
Deliphi can record a signature inside a matter, and that signature is hash-sealed. Signatures in Deliphi are not yet offered as legally binding e-signatures under the federal ESIGN Act or North Carolina's Uniform Electronic Transactions Act. We will say so clearly in the app if this changes. Until then, use a dedicated e-signature service for anything that must be legally signed.
11. Security
We work hard to protect your data. Our current practices include security headers, signed session cookies, hashed sign-in tokens, per-firm separation, and a hash-sealed record for each matter.
To be clear about what we do not have yet:
- No SOC 2 report. Delithius Labs has not completed a SOC 2 audit and holds no security certification.
- No system is perfectly secure. We do not promise that data will never be lost or accessed without permission.
If we learn of a breach affecting your data, we will tell you as required by law, including the North Carolina Identity Theft Protection Act.
12. Acceptable use
Please do not:
- break the law or anyone's rights, or use Deliphi for anything fraudulent;
- upload malware, or probe, scan, or overload the Service;
- attempt to get into other firms' data or accounts;
- copy, resell, or reverse-engineer the Service, except where the law allows;
- share your sign-in with people who are not users on your plan;
- present Deliphi output to a court or client as verified without a lawyer's review.
We may suspend or close accounts that break these rules. Where reasonable, we will tell you first and give you a chance to export your work.
13. Outside services
Deliphi uses outside services to work, such as Stripe for payments, our web host, and public legal sources for citation checks. Their own terms apply to their part. We are not responsible for outside services we do not control. The Privacy Policy lists them.
14. Changes and availability
We keep improving Deliphi, so features may change. We aim to keep the Service running but do not promise it will be uninterrupted or error-free. We do not offer an uptime guarantee unless we agree to one in writing. If we make a material change to these terms, we will tell you by email or in the app before it takes effect. Continuing to use the Service after that means you accept the new terms.
15. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not promise that any output is correct, complete, or current.
16. Limit of liability
To the fullest extent the law allows:
- we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business; and
- our total liability for any claim about the Service is limited to the fees you paid us for the Service in the 12 months before the claim.
Some places do not allow these limits, so they may not all apply to you.
17. Indemnity
You agree to defend and hold harmless Delithius Labs from claims arising from Your Content, your legal work product, or your breach of these terms, to the extent the law allows.
18. Ending the agreement
You can stop using Deliphi and cancel at any time. We may end these terms or your access if you seriously break them, or if we stop offering the Service. If we stop offering the Service, we will give you at least 30 days notice and time to export your work. Sections that by their nature should continue (such as ownership, disclaimers, limits of liability, and governing law) continue after the agreement ends.
19. Governing law
These terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules. Any dispute will be handled only in the state courts of Wayne County, North Carolina, and you and we agree to their jurisdiction. There is no arbitration requirement.
20. General
These terms, together with the Privacy Policy, are the whole agreement between us about the Service. If any part is found unenforceable, the rest still applies. Not enforcing a right is not a waiver. You may not transfer these terms without our written consent; we may transfer them as part of a merger or sale of the business.
